TERMS OF USE
Willow Kids Incorporated
Welcome to Willow Kids. These Terms of Use (“Terms”) govern your access to and use of the Willow Kids website, applications, and related services (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. About Willow Kids
Willow Kids Incorporated (“Willow Kids,” “Company,” “we,” “our,” or “us”) operates a technology-based marketplace platform that facilitates introductions and payment coordination between:
- Families seeking tutoring services for children; and
- Independent tutors who offer those services.
Willow Kids does not provide tutoring services, does not supervise tutoring sessions, and does not employ tutors.
Tutors using the Platform operate as independent contractors and independent professionals.
2. Eligibility
You must be at least eighteen (18) years old to create an account or use the Platform.
Parents or legal guardians may create accounts on behalf of their children. Children may not independently create accounts.
Tutors must be legally authorized to provide services in their jurisdiction.
3. Accounts and Security
Users are responsible for:
- Providing accurate and complete account information
- Maintaining the confidentiality of login credentials
- All activity occurring under their account
Willow Kids reserves the right to suspend or remove accounts that contain false, misleading, or incomplete information.
4. Independent Tutors — No Employment Relationship
Tutors who use the Platform do so as independent contractors.
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Willow Kids and any tutor.
Tutors are solely responsible for:
- How tutoring services are performed
- Teaching methods and materials
- Scheduling and availability
- Compliance with applicable laws and professional standards
Willow Kids does not control, direct, or supervise tutoring services.
5. Platform Role and Limitations
The Platform provides tools to facilitate introductions, communication, scheduling, and payment coordination.
Willow Kids does not:
- Guarantee tutoring results or educational outcomes
- Guarantee availability of tutors or families
- Endorse any specific tutor or family
- Monitor or supervise tutoring sessions
All interactions between families and tutors are undertaken at their own discretion and responsibility.
6. Payments and Platform Fees
Payments between families and tutors may be facilitated through third-party payment providers.
Tutors agree that use of the Platform is subject to a platform service fee as described in the Independent Contractor Agreement and any applicable Tutor Fee Schedule published through the Platform.
The platform service fee may be updated prospectively upon reasonable notice.
Willow Kids does not guarantee earnings or income for tutors.
Except as required by law, Willow Kids is not responsible for payment disputes between families and tutors.
7. Community Guidelines
Users are encouraged to review the Community Guidelines.
The Community Guidelines reflect shared expectations within the Willow Kids community and do not constitute employment rules, supervision, or training.
8. User Conduct
You agree not to:
- Use the Platform for unlawful purposes
- Misrepresent your identity or qualifications
- Harass, threaten, or harm other users
- Interfere with the operation or security of the Platform
Willow Kids reserves the right to restrict access to users who violate these Terms.
9. Privacy
Use of the Platform is subject to the Willow Kids Privacy Policy.
Users acknowledge that the Platform involves minors and agree to handle all child-related information responsibly and in compliance with applicable law.
10. Platform Availability
The Platform is provided “as is” and “as available.”
Willow Kids does not guarantee uninterrupted, secure, or error-free access.
Willow Kids may modify, suspend, or discontinue any portion of the Platform at any time.
11. Disclaimers
To the fullest extent permitted by law:
- Willow Kids makes no warranties regarding the quality, reliability, or outcome of tutoring services.
- Willow Kids is not responsible for the conduct, actions, or omissions of tutors or families.
- Willow Kids disclaims all implied warranties, including merchantability and fitness for a particular purpose.
12. Limitation of Liability
To the fullest extent permitted by law, Willow Kids shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to use of the Platform.
In no event shall Willow Kids' total liability exceed the greater of:
- One Hundred Dollars ($100); or
- The total fees paid to Willow Kids in the three (3) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Willow Kids Incorporated, its members, managers, affiliates, and representatives from claims arising out of:
- Your use of the Platform
- Your interactions with other users
- Your violation of these Terms
- Your violation of applicable law
14. Dispute Resolution – Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY.
14.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through final and binding arbitration.
This arbitration agreement is governed by the Federal Arbitration Act.
14.2 Arbitration Location
Arbitration shall take place in Los Angeles County, California, unless otherwise agreed.
14.3 Class Action Waiver
All claims must be brought individually.
No party may participate in a class action, collective action, or representative proceeding.
The arbitrator shall not have authority to consolidate claims or preside over any class or representative action.
14.4 Costs
Willow Kids shall bear arbitration-specific costs to the extent required by applicable law.
14.5 Exceptions
Either party may seek injunctive relief in court for intellectual property or confidentiality violations.
15. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
16. Relationship to Independent Contractor Agreement
If you are a tutor, your participation is also governed by a separate Independent Contractor Agreement.
In the event of any conflict:
- The Independent Contractor Agreement controls tutor-specific matters;
- These Terms control general Platform usage.
17. Changes to These Terms
Willow Kids may update these Terms from time to time.
Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
